Students are solely responsible for obtaining appropriate business insurance, maintaining professional standards, following scope of practice rules, and ensuring all client interactions meet applicable laws and guidelines.
4. U.S. Jurisdiction and International Use Disclaimer
This program and business guidance are designed primarily for individuals starting or operating an independent caregiving business within the United States. Governing Law and Venue
These Terms and Conditions and any dispute arising out of or relating to these Terms, the Services, programs, courses, products, website, or materials offered by Independent Care Pro LLC shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent that any dispute is not subject to binding arbitration as provided below, the parties agree that any legal action or proceeding shall be brought exclusively in a court of competent jurisdiction located in the State of Texas. Each party consents to the personal jurisdiction of such courts and waives any objection based on venue or inconvenient forum.
5.Binding Arbitration and Class Action Waiver

Except for disputes that may lawfully be excluded from arbitration, any dispute, claim, or controversy arising out of or relating to these Terms and Conditions, your purchase or use of any Independent Care Pro LLC product, program, course, service, website, community, curriculum, or materials, or the relationship between you and Independent Care Pro LLC shall be resolved through final and binding arbitration rather than in court.
The arbitration shall be conducted on an individual basis in accordance with applicable law and the rules of the arbitration provider designated by Independent Care Pro LLC, subject to any requirements imposed by applicable law. Unless otherwise required by law or agreed to by the parties, arbitration shall take place in Texas or remotely by telephone, videoconference, or other mutually acceptable means.
YOU AND INDEPENDENT CARE PRO LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
To the fullest extent permitted by applicable law, the arbitrator shall not consolidate the claims of multiple individuals or otherwise preside over any form of class, collective, consolidated, or representative proceeding.
If any portion of this arbitration or class action waiver provision is determined to be unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law.
6.Limited License and Restrictions on Use
Subject to your compliance with these Terms and Conditions and payment of all applicable fees, Independent Care Pro LLC grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the purchased course, program, curriculum, templates, training materials, videos, documents, downloads, frameworks, systems, and other proprietary content solely for your own personal education and the operation of your own caregiving business.
Your purchase does not transfer ownership of any intellectual property to you.
Unless Independent Care Pro LLC provides prior written permission, you may not:
Share, sell, transfer, sublicense, publish, distribute, reproduce, or provide your course or program access to another person.
Share usernames, passwords, login credentials, access links, or other account credentials with another individual or entity.
Copy, reproduce, republish, upload, transmit, distribute, sell, license, or commercially exploit Independent Care Pro LLC’s curriculum, training materials, templates, frameworks, videos, written materials, downloads, or other proprietary content except as expressly permitted.
Modify, adapt, translate, reverse engineer, deconstruct, disassemble, recreate, or create derivative training materials based substantially upon Independent Care Pro LLC’s proprietary curriculum, frameworks, systems, or course structure for resale, licensing, teaching, coaching, consulting, or commercial distribution.
Use Independent Care Pro LLC’s proprietary materials, curriculum, frameworks, systems, course structure, or substantially similar reproductions of them to create, market, sell, or operate a competing course, coaching program, mentorship, training program, consulting service, membership, certification program, or other educational product.
Remove or alter copyright notices, trademarks, proprietary notices, watermarks, branding, or other ownership identifiers appearing on Independent Care Pro LLC materials.
Permit another person or business to access materials made available exclusively to you as a purchaser or participant.
You may use the knowledge and skills you personally acquire through the program in operating and growing your own caregiving business. Nothing in these Terms is intended to prevent you from independently applying general business knowledge, ideas, skills, or experience that are not protected proprietary materials or intellectual property of Independent Care Pro LLC.
All rights not expressly granted under this limited license are reserved by Independent Care Pro LLC.
Independent Care Pro LLC may suspend or terminate access to its products, programs, courses, communities, or materials for unauthorized sharing, distribution, reproduction, commercial exploitation, or other material violation of this license, subject to applicable law and any other rights or remedies available under these Terms.
7.Results and Earnings Disclaimer
Independent Care Pro LLC provides educational and informational training designed to help experienced caregivers learn about building and operating a private-pay caregiving business.
